JBS N.V. Plans U.S. SEC Reporting Shift for June 30, 2026 Quarter
JBS N.V. announced on June 30, 2026, that it intends to voluntarily shift from foreign-private-issuer reporting to U.S. domestic-company reporting. Why the reporting shift matters
JBS currently reports as a foreign private issuer. Its announced plan would move it into the U.S. domestic-company reporting framework, changing the timetable by which investors receive quarterly and annual company information.
As a large accelerated filer, JBS expects to submit annual Form 10-K reports within 60 days after the end of its fiscal year. It expects to file quarterly Form 10-Q reports within 40 days after the first three quarters of its fiscal year.
Those deadlines outline the practical effect of the proposed move. Rather than relying on the timetable associated with its current foreign-private-issuer status, JBS would be expected to maintain the domestic-company schedule described in its announcement. The first test of that schedule is the planned Form 10-Q for the quarter ending June 30.
The change is relevant to investors in more than one market. JBS said more than half of its consolidated revenue comes from the United States, and its shares trade on both the New York Stock Exchange and Brazil’s B3.
Its international structure also includes management centers in the United States, the Netherlands, Brazil, the United Kingdom and Australia. The planned reporting shift therefore concerns a company with operations, listings and management links spanning North America, South America, Europe and Australia.
What is known—and what is not
The filing establishes the proposed status change, the initial reporting period and the company’s expected filing deadlines. It does not establish that JBS has been acquired by the United States, and it does not say that the company’s corporate domicile has changed.
