GEN signs binding LOI for operations at 47 restaurants
GEN Restaurant Group has signed a binding letter of intent with Chubby Group for Chubby to take over operations at 47 U.S. restaurants, in a proposed transaction with a stated value of $100 million. The transaction has not closed, and GEN says definitive agreements and other conditions remain outstanding.
The announcement on Oct. 14 marks a step beyond the proposal GEN disclosed in August. At that time, the company said it had received a nonbinding letter of intent from an unidentified nationwide, multi-concept restaurant operator and that its board was evaluating it. The new announcement names Chubby Group and says GENโs board approved the binding letter unanimously.
The proposed handover would not happen all at once. GEN says the transition would take place in four phases over 12 months, with the company retaining operating profits at each restaurant until that location transfers. Chubby would fund restaurant conversions and buildouts from its own capital, according to GEN.
Closing conditions and proposed terms
GEN is targeting closing within 30 days of its announcement, subject to definitive agreements, regulatory approvals, and transfers of leases and licenses. That is a target, not a completed transaction. Until closing and the subsequent location handovers, the announcement does not establish that operations, staffing or signage have changed at any of the restaurants.
The $100 million is the stated transaction value; GENโs announcement describes a term note receivable as part of the arrangement. It says the company may convert any unpaid balance into Chubby Group equity at a $1.5 billion valuation. The announcement does not give the cash-versus-note allocation, payment schedule or full terms of the note, so the stated value should not be read as a confirmed all-cash payment.
GEN says it has about $160 million in lease liabilities and expects the transaction to substantially reduce them. That figure is the companyโs stated liability amount, not a confirmed reduction amount. GEN also expects to eliminate its outstanding debt following the transaction; both outcomes remain company expectations rather than results already achieved.
GEN would retain its brand and CPG business
GEN says it will retain full ownership of the GEN brand and its consumer-packaged-goods business, keep approximately three restaurants, and remain publicly traded. The company has described the proposed change as a way to focus its corporate operations on its CPG business. The transfer concerns restaurant operations at the 47 locations; it does not establish a sale of the GEN brand or all of GENโs assets.
The companies have not said whether the 47 locations would continue operating under the GEN name or another brand; Restaurant Dive reported that the post-transfer branding had not been clarified. The announcement also leaves the detailed payment structure and closing outcome unresolved.
For Chubby, the arrangement would provide a phased operating platform across 47 U.S. restaurants if completed. For GEN, the proposed structure combines a transfer of restaurant operations with retention of its brand, CPG business and a small number of restaurants. The next steps are completion of definitive agreements and satisfaction of the stated closing conditions, followedโif the transaction closesโby the planned phased handovers.
